These Terms of Service ("Terms") govern your access to and use of the SafeStream Leads platform and services. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the SafeStream Leads platform, website, or API ("Services"), you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
SafeStream Leads provides a lead acquisition and distribution platform that connects lead sources with verified lending partners. Our Services include:
- Lead submission and distribution via API
- Partner verification and compliance monitoring
- Reporting and analytics dashboards
- Technical integration support
3. Partner Eligibility
To use our Services as a lead buyer (lender), you must:
- Be a legally formed business entity
- Hold all required state and federal licenses for lending activities
- Maintain good standing with applicable regulatory agencies
- Complete our partner verification process
- Agree to our Data Processing Agreement
4. Compliance Obligations
All partners must comply with applicable laws and regulations, including:
- Telephone Consumer Protection Act (TCPA)
- CAN-SPAM Act
- Fair Credit Reporting Act (FCRA)
- State lending and telemarketing regulations
- All applicable consumer protection laws
Partners are solely responsible for their own compliance and must implement appropriate policies and procedures.
5. Lead Terms
For lead sellers:
- You warrant that all leads have valid TCPA consent
- You will provide accurate and complete lead data
- You will not submit duplicate, fraudulent, or fabricated leads
- You grant SafeStream rights to distribute leads to our buyer network
For lead buyers:
- Leads are provided on a non-exclusive basis unless otherwise agreed
- You will contact leads only in compliance with TCPA and applicable laws
- Lead returns must comply with our return policy
- You will not resell leads without express written permission
6. Pricing and Payment
Lead pricing is determined by our real-time marketplace and partner agreements. Payment terms are specified in your Partner Agreement. We reserve the right to modify pricing with 30 days notice.
7. Intellectual Property
The SafeStream Leads platform, including software, documentation, and trademarks, is owned by SafeStream Leads. Partners are granted a limited license to use our Services during the term of their partnership.
8. Confidentiality
Partners agree to maintain the confidentiality of:
- API credentials and technical documentation
- Pricing and business terms
- Consumer personal information
- Any information designated as confidential
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFESTREAM LEADS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless SafeStream Leads from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or violation of applicable laws.
11. Termination
Either party may terminate the partnership with 30 days written notice. We may immediately terminate or suspend access for material breach, fraud, or illegal activity. Upon termination, partners must cease using the Services and pay any outstanding balances.
12. Modifications
We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the Services after changes constitutes acceptance of the modified Terms.
13. Governing Law
These Terms are governed by the laws of the State of Utah. Any disputes shall be resolved in the state or federal courts located in Salt Lake County, Utah.
